Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.
When you create an account with us, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
WaCipu provides a Software-as-a-Service (SAAS) platform that allows businesses to access and utilize the WhatsApp Official Business API. Our service includes, but is not limited to, message routing, session management, analytics, and tools for managing WhatsApp communications. We are not affiliated with, endorsed by, or sponsored by WhatsApp LLC or Meta Platforms, Inc.
You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service. You are solely responsible for all activity that occurs under your account and for the content of all messages sent through your account.

WaCipu reserves the right to suspend or terminate your account immediately if we believe, in our sole discretion, that your use of the Service violates WhatsApp's terms or could negatively impact our relationship with WhatsApp or other users.
You acknowledge that you are the Data Controller for any personal data of end-users (e.g., your customers) that you process through our Service. WaCipu acts as a Data Processor on your behalf. You are responsible for ensuring you have a lawful basis for processing this data and for complying with all applicable data protection laws, including but not limited to the GDPR, CCPA, and others.
You agree to our Privacy Policy, which explains how we collect, use, and disclose information from our users. By using the Service, you consent to our collection and use of your data as outlined in the Privacy Policy.
Access to certain features of the Service may require payment of fees. You agree to pay all applicable fees as described on our website. Fees are based on our pricing plan and are billed in advance on a recurring basis (monthly/annual).
All fees are non-refundable. If you cancel your subscription, you will not receive a prorated refund, but you will continue to have access to the paid features until the end of your billing cycle.
We reserve the right to change our subscription plans or adjust pricing for our service at any time. Any price changes will be communicated to you with at least 30 days' notice.
The Service and its original content, features, and functionality are and will remain the exclusive property of WaCipu and its licensors. The Service is protected by copyright, trademark, and other laws of both foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of WaCipu.
You retain all intellectual property rights to the content you send through the Service. By using the Service, you grant WaCipu a limited, worldwide, non-exclusive license to host, transmit, and process your content solely for the purpose of providing the Service to you.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service or use the account cancellation functionality provided within the Service.
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
In no event shall WaCipu, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
You agree to defend, indemnify, and hold harmless WaCipu and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.
These Terms shall be governed and construed in accordance with the laws of [Your Country/State], without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
